1. About the Website

Welcome to www.circletrust.com.au. The website is operated by NextAura Solutions Pty Ltd. By using, browsing, or reading the website, you agree to be bound by these terms. If you do not agree, you must cease usage immediately. NextAura Solutions Pty Ltd reserves the right to update these terms at any time.

2. About the Service

CircleTrust is a B2B referral platform where businesses build invite-only partner networks and exchange leads with trusted connections. Referrals initiate a shared email thread between business, affiliate, and client. Trust scores and deal tracking keep the whole network accountable. Personal, Free Trial, and Professional accounts are offered and may be subject to separate terms.

3. Acceptable Use

CircleTrust must only be used lawfully. NextAura Solutions Pty Ltd may suspend or deny access to users who:

• Disrupt access, availability, or security of the platform (hacking, reverse-engineering, overwhelming infrastructure)
• Use the service for illegal purposes or to violate data, privacy, or export control laws
• Stalk, harass, or threaten users or the public
• Discriminate against any person on the basis of a protected attribute under Australian law
• Misrepresent identity, engage in phishing, or falsely imply association with NextAura Solutions
• Distribute malware, viruses, or malicious code through the platform

4. Security and Data Privacy

Your information is subject to our Privacy Policy. Where NextAura Solutions processes personal information on your behalf, it acts as a data processor and will only process information per your instructions, maintain appropriate security measures, notify you of any data breaches, and delete or return data upon service termination. Organisation accounts on Professional subscriptions may request a separate Data Processing Addendum.

5. Data Use and Ownership

You retain all ownership rights to referral data, deal information, contact lists, and business intelligence you create or upload. NextAura Solutions retains only a limited licence to host, display, and operate the services. Your data will not be used for competitive purposes. Upon account termination, you have 30 days to export your data in standard formats (CSV, JSON, PDF), after which it will be permanently deleted.

6. Subscriptions and Payments

• A subscription is required to access the services, and fees are non-refundable except as provided in the refund policy
• Subscriptions auto-renew at the end of each period; a reminder notification is sent at least 14 days before renewal
• You may cancel at any time via account settings; access continues until the end of the current period
• Free trials automatically convert to paid subscriptions unless cancelled before the trial ends; 7 days notice is provided before conversion
• Fee increases require 60 days written notice; increases over 10% require a detailed explanation
• Users must be at least 18 years of age

7. AI Features

CircleTrust incorporates AI features including automated trust scoring, referral matching, deal tracking insights, and AI-generated summaries. Key points:

• AI-generated outputs do not constitute professional, legal, financial, or business advice
• You retain ownership of AI-generated outputs to the extent permitted by law
• AI features are provided “as is” without warranties of accuracy or fitness
• Your user content will not be used to train AI models without your express written consent
• You may opt out of AI features via account settings or by contacting support
• You may request a human review of any significant AI decision that affects your account or trust score

8. Team and Organisation Accounts

Organisation accounts are managed by a Primary Admin who controls access, permissions, and team members:

• Content created by team members in the course of their employment is owned by the organisation
• The Primary Admin is responsible for revoking access when team members depart
• Partner network data, referral data, and deal information belong to the organisation
• If the Primary Admin departs, the organisation must notify NextAura Solutions within 14 days

9. Intellectual Property

The website, services, and related products are protected by copyright under Australian and international law. You are granted a non-exclusive, royalty-free, revocable licence to use the website and store or print pages for personal, non-commercial use. NextAura Solutions retains all other rights.

10. Limitation of Liability

NextAura Solutions' total aggregate liability will not exceed the subscription fees you paid in the 12 months preceding the claim. This limitation does not apply to death or personal injury caused by negligence, fraud, or non-excludable consumer guarantees under Australian Consumer Law.

11. Termination

You may terminate by not renewing your subscription, providing written notice, or closing your account. NextAura Solutions may terminate for breach, legal requirement, or if the service is no longer commercially viable (with 60 days notice). Upon termination, you have 30 days to export your data. Except in cases of imminent security threats, a 14-day cure period is provided before suspension or termination takes effect.

12. Dispute Resolution

Disputes must be raised via written notice. The parties must attempt resolution through good-faith negotiation within 28 days. If unresolved, mediation will be arranged through the Resolution Institute and held in Melbourne, Australia. All disputes must be brought in individual capacity, not as class actions.

13. Governing Law

These terms are governed by the laws of Victoria, Australia. The exclusive venue for resolving disputes is the courts of Victoria.
